TERMS AND CONDITIONS OF USE- CHATCONVERSIONS

1. BASIC TERMS
By accessing this website or subscribing to the services of ChatConversions, you
are agreeing to be bound by ChatConversions’ following terms and conditions
of use, all applicable laws and regulations, and agree that you are
responsible for compliance with all the applicable local laws. If you do not
agree with any of these terms, you are not allowed to use or access this
website & subscribing to ChatConversions’ services. The materials contained in
this website are protected by the applicable copyright and trademark law.
We ask you to read ChatConversions’ Terms & Conditions of Use & the
company’s Privacy Policy carefully because they override & supersede all the
related documents which you might or might not have read about or signed
with ChatConversions.

2. COPYRIGHT AND OWNERSHIP
We ask you to read this policy carefully as it applies to you irrespective of
the nature of your association with ChatConversions. Which means, it also
applies even if you’re not one of our customers and you interact with us,
such as by:
2.1 ChatConversions or its suppliers own the intellectual property rights to any
and all protectable components of the Service, including but not limited to
the name of the Service, artwork and end-user interface elements
contained within the Service, many of the individual features, and the

related documentation. Your usage of ChatConversions’ services falls under the
conditions mentioned under Use License below.
2.2 ChatConversions claims no intellectual property rights or the responsibility
of the Content you upload or provide to the Service, such as the FAQs.

3. USE LICENSE
Since ChatConversions & its employees & service providers are separate entities,
the policy does not cover the information about our employees.
3.1 Permission is granted to temporarily download one copy of the materials
(information or software) available on ChatConversions’ website for personal,
non-commercial transitory viewing only. This is the grant of a license to use
our service & the provided resources, not a transfer of title, and under this
license, you may not:
3.1.1 Modify or copy the materials
3.1.2 Use the materials for any commercial purpose, or for any public display
(commercial or non-commercial) excepting the terms agreed upon during
the sign-up;
3.1.3 Attempt to decompile or reverse engineer any software contained on
ChatConversions’ website;
3.1.4 Remove any copyright or other proprietary notations from the
materials; or
3.1.5 Transfer the materials to another person or “mirror” the materials on
any other server.
This license shall automatically terminate if you violate any of these
restrictions and it may be terminated by ChatConversions at any time. Upon
terminating your viewing of these materials or upon the termination of this
license, you must destroy any downloaded materials in your possession
whether in electronic or printed format.

4. SERVICES
In order to deliver the service(s) for which you have signed-up for the free
trial or purchased a plan of ChatConversions’ 24×7 Live Chat Agents Support or
Sales Lead Generation Service or both, ChatConversions agrees upon providing
you with the resources including but not limited to:
4.1 Deploying human Chat Agents on your website, app, social media
account or the blog, which do NOT deal in or promote, sexually explicit
materials, violence, illegal activities, fake or counterfeit items, gambling or
betting, discrimination based on race, sex, religion, nationality, disability,
sexual orientation, or infringes upon others’ intellectual property rights.
4.2 Following the instructions according to which the service is to be
provided.
4.3 Providing chat widget code to those which seek to take the service
using ChatConversions’ free live chat tool & assisting them in embedding it
onto the platform the service is agreed upon for.
4.4 Providing access to the dashboard.
4.5 Providing the count of the chats, sales leads & support tickets & the
other details collected from the visitors on the behalf of the client.
4.6 Providing the service for 24×7, with the minimum uptime of 99%,
excepting the 11 dates mentioned in our Holiday Calendar & the 4 days,
reserved for elections & emergencies.
4.7 Delivering the service with the minimum uptime of 99%.

5. ACCOUNT TERMS
5.1 When you reach out to us with any enquiry about our service, you
automatically get subscribed to our mailing list. However, you can
unsubscribe from the Emails, by hitting the Unsubscribe button on the
Email.

5.2 You are responsible for maintaining the security of your account by
keeping your account credentials secured & not sharing them with anyone.
ChatConversions does not share your account credentials with anyone & cannot
be held liable for any loss or damage to your information from your failure
to comply with the security obligations
5.3 You are responsible for every piece of information that we collect from
your customers on your website in the course of providing the chat support.
ChatConversions collects the information from your customers only as per your
instructions & to deliver the service it is hired for.
5.4 When your monthly quota of chats or sales leads or both gets
exhausted, ChatConversions has all the rights to charge you for the extra chats
or sales leads or both as per the rates mentioned under the concerned plan.
We inform you well in advance & suggest to upgrade your plan.
5.5 ChatConversions carries forward your remaining number of chats or sales
leads or both & allows you to get them added to the quota of the next
month & on, but, carrying forward of the leftovers will be done for only as
long as you do not downgrade your plan.
5.6 The decision to provide the service or not remains solely with
ChatConversions & ChatConversions reserves the right to refuse service to anyone for
any reason at any time.
Please note, ChatConversions does NOT work with the businesses which deal in
or promote, sexually explicit materials, violence, illegal activities, fake or
counterfeit items, gambling or betting, discrimination based on race, sex,
religion, nationality, disability, sexual orientation, or infringes upon others’
intellectual property rights.
5.7 In order to use ChatConversions’ service or access any of the resources, you
must sign-up with your legal full name, valid Email address, phone number
& the website URL.

6. PAYMENTS, REFUNDS, UPGRADING AND DOWNGRADING TERMS
6.1 Payments Terms: When you decide to upgrade your account to one of
our paid plans & for the monthly payments, we ask you to make the
payment through PayPalor credit card on a recurring basis. Since
ChatConversions doesn’t access the classified payment details & receives only
the payment confirmation details, you should contact PayPal in the case of
any dispute related to payment.
6.2 Refunds: We do not refund the received payments. That is because, as
soon as we receive a payment from you, we allocate our resources to your
project for a month & cannot deploy them elsewhere.
6.3 Upgrading Terms: You can upgrade your plan at any time during the
course of the service. When you will upgrade your plan, your monthly quota
of the chats or sales leads or both will be reset as per our discussion then
on the ad-hoc basis.
6.4 Downgrading Terms: You can downgrade your plan at any time during
the course of the service. Please note that the moment you downgrade your
plan, your carry forward count becomes zero.

7. TERMINATION TERMS
7.1 You can ask us to discontinue our service on your website at any point of
the time, over Email, chat or phone & within 24 hours of getting our invoice
paid (in event of extra chats, sales leads or both), we will detach all our
resources from your website & on your request, will delete all your
information from our resources. You won’t be charged again. after your
official cancellation date.
7.2 Here, it is important to note that in order to fulfil the legitimate purpose
of our business or the legal compliances, we may need to retain certain

pieces of your information for certain period of time from the termination
of our service.
7.3 ChatConversions, in its sole discretion, has the right to suspend or terminate
your account and refuse any and all current or future use of the Service, or
any other ChatConversions service, for any reason at any time. Such termination
of the Service will result in the deactivation or deletion of your Account or
your access to your Account, and the forfeiture and relinquishment of all
content in your Account. ChatConversions reserves the right to refuse service to
anyone for any reason at any time.

8. SERVICE & PRICES MODIFICATION TERMS
8.1 ChatConversions reserves all the rights to modify or discontinue any or all
the parts of our service at any time & from time to time, with or without
prior notice.
8.2 ChatConversions can modify or change the prices of its plans without any
notice. In event of a change in the price, ChatConversions reserves the right to
decide whether the customers which started with the previous price(s) are
going to pay the previous price(s) or the new one.
8.3 ChatConversions shall not be liable, in any condition, to you or to any third
party for any modification, price change, suspension or discontinuance of
the Service.

9. REVISIONS AND ERRATA
The materials appearing on ChatConversions’ website could include technical,
typographical, or photographic errors. ChatConversions does not warrant that
any of the materials on the website are accurate, complete, or current.
ChatConversions may make changes to the materials contained on the website
at any time without notice. ChatConversions does not, however, make any
commitment to update the materials.

10. LINKS
ChatConversions has not reviewed all of the sites linked to its website and is not
responsible for the contents of any such linked sites. The inclusion of any
link does not imply endorsement by ChatConversions of the site. Use of any such
linked web site is at the user’s own risk.

11. DISCLAIMER
The materials on ChatConversions’ web site are provided “as is”. ChatConversions
makes no warranties, expressed or implied, and hereby disclaims and
negates all other warranties, including without limitation, implied
warranties or conditions of merchantability, fitness for a particular purpose,
or non-infringement of intellectual property or other violation of rights.
Further, ChatConversions does not warrant or make any representations
concerning the accuracy, likely results, or reliability of the use of the
materials on its website or otherwise relating to such materials or on any
sites linked to this site.

12. LIMITATIONS
In no event shall ChatConversions or its suppliers be liable for any damages
(including, without limitation, damages for loss of data or profit, or due to
business interruption,) arising out of the use or inability to use the
materials on ChatConversions’ internet website, dashboard or the core service
i.e. chat support, even if ChatConversions or a ChatConversions authorized
representative has been notified orally or in writing of the possibility of
such damage. As some jurisdictions do not allow limitations on implied
warranties, or limitations of liability for consequential or incidental
damages, these limitations may not apply to you. During the FREE TRIAL and while being a subscriber (client) of CHATCONVERSIONS you agree not to solicit hire or engage in any capacity any employee, staff member or subcontractor of CHATCONVERSIONS for 2 years following termination of services.

13. GOVERNING LAW

Any claim relating to ChatConversions shall be governed exclusively by the laws
of the State of Florida, USA, irrespective to the laws of the location of the
other party or to its conflict with other law provisions. ChatConversions is not
liable to pay any compensation beyond US$10,000 in any case.

14. UPDATE TO THESE TERMS & CONDITIONS OF USE
ChatConversions reserves the right to change or update these terms &
conditions of use from time to time. If material changes are made, we will
inform you by Email, for the other minor changes, we will update the Last
Revised On date, at the top of this page.
We encourage you to regularly check back on this page to ensure that you
